ASSISTANT LEGAL, CONTRACT AND TAX
II- THE ROLE
– On legal side
- Drafting and legal review of contracts with analysis of their implications, including tax implications;
- Litigation management;
- Legal opinions;
- Assistance in the opening of branches/subsidiaries, within the framework of the expansion of the Company;
- Legal monitoring;
- Analysis of all legal and social situations and advice to General Management.
– On Contracts
- Assist in reviewing, validating and negotiating contracts and commercial agreements of ASKY, which are drafted and/or reviewed by the legal Department.
- Ensure compliance with the applicable laws and ASKY internal policies and procedures to better serve company interests.
- Provide legal advice to different departments on all contractual issues and negotiate, interface and attend meetings related to contractual issue with external clients as well as internal customers / departments.
- Review and control of contract documentation, during the proposal preparation phase, through formation and administration, until contract signature.
- Ensure that all contracts are reviewed and validated by the concerned departments in compliance with the contracts internal process.
- Secure timely delivery of contracts, participate in setting, and complying with, the Legal department mandates and efficiently manage, organize and standardize ASKY contract and customized templates and circulations and review on a regular basis.
-On tax matters:
- Assist in developing, analysing, revising the various contracts in which ASKY is or will be involved to assess their tax impact and guide the hierarchy accordingly in decisions;
- Identify the tax regime of all ASKY branches or subsidiaries with regard to the applicable legislation in each country;
- Ensure at the headoffice and in the branches or subsidiaries, the appropriate tax treatment of salaries and other remuneration paid to staff and third parties with whom ASKY has a business relationship;
- Maintain accurate records of support requests, resolutions, and recurring issues while recommending continuous improvements to platform functionality and service delivery.
- Identify the mechanisms and ensure the proper settlement of the various taxes, duties and contributions of all kinds to which ASKY is subject;
- Conduct tax review/audit and issue regularly report on each branch tax situation;
- Optimize the taxation of wages and others.
QUALIFICATIONS / EXPERIENCE
-Master in Law and Tax;
-Professional legal practice and experience of not less than 3 years, with particular emphasis on tax;
-Ability to communicate and function in a culturally diverse and change oriented setting with good knowledge of Airlines activities;
-Excellent verbal and written communication skills in English and French;
-Strong skills in drafting a variety of legal documents and communicating complex issues clearly and concisely;
-Ability to manage easily tax/impost and related issues;
-Ability to work in a fast pace environment with quick turnaround expectations
-Negotiating skills and capacity to work with other professionals including non-legal professionals to develop innovative solutions to conflicting interests and positions;
-Willingness to assume multiple roles and tasks to meet changing business needs with ability to foresee, troubleshoot and effectively resolve conflicting issues and challenges; and
